Statement on Corporate Governance

The German Corporate Governance Code is directed towards stock corporations domiciled in Germany. Thus, the recommendations and suggestions contained in the Code are based on a governing body structure and an allocation of authority that are characteristic for stock corporations under German law. Many of the rules in the Code are not appropriate for stock corporations established under foreign law.

However, SAF AG intends to comply with the directive of the SWX Swiss Exchange on information relating to corporate governance (corporate governance directive). This guideline only applies to companies listed on the SWX Swiss Exchange and is not directly applicable to the Company. However, the Company intends to voluntarily follow the requirements of the guideline without reservation.
